Terms and Conditions

1. Agreement to Terms

By accessing and using the services provided by 9Flares Technology OÜ ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Company Information

9Flares Technology OÜ is a company registered in Estonia with registration number 16569546. Our registered address is Harju maakond, Tallinn, Kesklinna linnaosa, Narva mnt 5, 10117, Estonia.

3. Services Description

We provide computing infrastructure and data hosting services, including but not limited to:

• Data center colocation services
• Cloud computing solutions
• Network infrastructure services
• Web hosting services
• Technical support and consultation

4. Service Level Agreement

4.1 Uptime Guarantee

We guarantee the following uptime levels:

• Data Center Services: 99.9% uptime
• Cloud Computing: 99.9% uptime
• Network Services: 99.5% uptime
• Web Hosting: 99.5% uptime

4.2 Maintenance Windows

Scheduled maintenance may occur during designated maintenance windows with prior notice. Emergency maintenance may be performed without prior notice when necessary for security or system integrity.

5. Customer Responsibilities

Customers are responsible for:

• Providing accurate and complete information
• Maintaining the security of their accounts and passwords
• Complying with all applicable laws and regulations
• Proper use of allocated resources
• Timely payment of invoices
• Backing up their data regularly

6. Acceptable Use Policy

Customers must not use our services for:

• Illegal activities or content
• Spam, phishing, or malicious software distribution
• Unauthorized access to systems or networks
• Activities that violate intellectual property rights
• Resource abuse or excessive consumption
• Activities that compromise security or stability

7. Payment Terms

7.1 Pricing

All prices are quoted in EUR unless otherwise specified. Prices are subject to change with 30 days' notice.

7.2 Payment Schedule

Payment terms are net 30 days from invoice date unless otherwise agreed in writing. Late payments may incur interest charges of 1.5% per month.

7.3 Taxes

All prices exclude applicable taxes, which will be added to invoices as required by law.

8. Data Protection and Privacy

We are committed to protecting your data and privacy in accordance with:

• General Data Protection Regulation (GDPR)
• Estonian Personal Data Protection Act
• Other applicable data protection laws

9. Intellectual Property

All intellectual property rights in our services, documentation, and materials remain our property. Customers retain ownership of their data and content.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.

11. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to:

• Direct damages only (no indirect, consequential, or punitive damages)
• Maximum liability of 12 months' service fees
• Service credits for SLA breaches as specified in service agreements

12. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or network failures.

13. Termination

13.1 Termination by Customer

Customers may terminate services with 30 days' written notice. Early termination fees may apply.

13.2 Termination by Company

We may terminate services immediately for:

• Breach of these Terms
• Non-payment after 30 days
• Illegal or harmful activities

14. Data Backup and Recovery

While we maintain system backups, customers are responsible for their own data backup. We offer backup services as an additional service with separate terms.

15. Support Services

Technical support is provided according to the support plan selected:

• Basic Support: Business hours (9 AM - 6 PM EET)
• Premium Support: Extended hours with faster response times
• Enterprise Support: 24/7 support with dedicated account management

16. Compliance and Regulations

Our services comply with relevant industry standards and regulations, including:

• ISO 27001 (Information Security Management)
• SOC 2 Type II
• GDPR compliance
• Local Estonian regulations

17. Amendments

We may modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use of services after changes constitutes acceptance of modified Terms.

18. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• First, good faith negotiation
• If unsuccessful, binding arbitration under Estonian law
• Courts of Estonia shall have jurisdiction

19. Governing Law

These Terms are governed by and construed in accordance with the laws of Estonia.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue to be valid and enforceable.
